Terms of Service

1. Service Description

SimWizard AI is an add-in for Simio simulation software that provides AI chat capabilities through third-party AI providers. The service is provided by Simulation Helpdesk OÜ (registry code: 14766183), registered in Tallinn, Estonia. SimWizard AI requires a separately licensed copy of Simio simulation software to function. Simulation Helpdesk OÜ does not provide Simio licenses and is not affiliated with, endorsed by, or sponsored by Simio LLC.

2. Subscription & Billing

• Subscriptions are billed monthly or yearly through Stripe.
• You may cancel at any time. Access continues until the end of the billing period.
• Credit limits reset at the start of each billing cycle. Unused credits do not carry over.
• Purchased credit packs (top-ups) never expire and carry over between billing cycles.
• Refunds are available within 14 days of the first purchase if you're unsatisfied (EU right of withdrawal).

3. Pricing & Package Changes

We reserve the right to modify subscription prices, credit allocations, available AI models, credit coefficients, and the contents of subscription packages at any time. Changes to pricing will not affect your current billing period. We will notify active subscribers of material pricing changes at least 14 days before they take effect. If you do not agree with a price change, you may cancel your subscription before the new price applies.

4. License Terms

• Each license key is for one user on one machine at a time.
• You may transfer your license between machines using the Deactivate/Transfer feature.
• Sharing, reselling, or redistributing license keys is prohibited.
• We reserve the right to revoke licenses that violate these terms.

5. Free Plan

The free plan provides limited access to select AI models with credit limits. No license key is required. The free plan may be modified or discontinued at any time without notice.

6. Eligibility

You must be at least 18 years old to use SimWizard AI. By using the service, you represent that you meet this age requirement.

7. Acceptable Use

• Do not use the service for any illegal purpose.
• Do not attempt to circumvent rate limits or usage restrictions.
• Do not reverse-engineer the software or API.
• Do not use automated tools to abuse the service.

8. Third-Party AI Services

AI responses are generated by third-party providers including but not limited to: Anthropic (Claude), Google (Gemini), OpenAI (GPT), xAI (Grok), DeepSeek, StepFun, MiniMax, Moonshot AI (Kimi), and Zhipu AI (GLM). We route requests through OpenRouter and other aggregators. We are not responsible for the content, accuracy, or availability of AI outputs. Use of these providers is subject to their respective terms of service. The list of available AI providers may change at any time.

9. Account Termination

• You may cancel your subscription at any time through Stripe's customer portal.
• To request complete deletion of your account and personal data, contact us at [email protected]. We will process your request within 30 days in accordance with GDPR.
• We reserve the right, at our sole discretion, to suspend or terminate accounts that violate these terms or engage in conduct that we determine to be harmful to the service, other users, or third-party providers.
• In cases of egregious abuse — including but not limited to automated exploitation of the service, circumvention of usage limits, or activity that causes excessive costs to third-party AI providers — we may immediately suspend access without prior notice.
• No refund or credit is due upon termination for violation of these terms.

10. Limitation of Liability

SimWizard AI is provided "as is" without warranties. We are not liable for any damages arising from the use of the service, including but not limited to: incorrect AI responses, service interruptions, or data loss. Our total liability is limited to the amount paid in the 3 months prior to the claim.

11. Disclaimer

SimWizard AI is an independent product and is not affiliated with, endorsed by, or sponsored by Simio LLC. "Simio" is a trademark of Simio LLC.

12. Intellectual Property

All intellectual property rights in SimWizard AI, including the software, its design, code, and documentation, are and remain the exclusive property of Simulation Helpdesk OÜ. Nothing in these terms grants you any ownership rights in the software. AI-generated outputs are provided without warranty of originality or accuracy, and you assume full responsibility for your use of such outputs.

13. Force Majeure & Service Interruptions

We shall not be liable for any failure or delay in providing the service caused by circumstances beyond our reasonable control, including but not limited to: outages or changes by third-party AI providers, internet infrastructure failures, natural disasters, government actions, or cyberattacks. We reserve the right to modify, replace, or discontinue specific AI models or providers at any time without prior notice.

14. Governing Law & Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising from or relating to these terms shall be submitted to the courts of Harju County, Estonia.

15. Changes to Terms

We may update these terms at any time. Continued use of the service after changes constitutes acceptance of the updated terms. We will notify active subscribers of material changes via email at least 14 days before they take effect.
